Limited Company Closure Services
Accountancy Made Simple from only £89/month
Closing a limited company properly means more than filing a form. Tax planning, deregistering VAT and PAYE, and a personal tax return covering any final distribution all need to happen in the right order. Caroola offers close support and guidance on the entire process for a fixed fee of £549 + VAT.

Everything Needed for Company Closure
Get the order wrong, deregister VAT too early, distribute funds before the tax position is settled, or miss a step with HMRC, and closing the company can end up costing more than it should, or take far longer than it needs to.
Our company closure services are always available for our existing clients, as we already have intimate knowledge of your business and how it operates. If needed as a standalone service, this can be supplied through our partner company BAA Accounting.

Specialist Limited Company Closure Support
Your closure is handled by an experienced accountant, not a one-size-fits-all filing service.
You’ll get your own dedicated accountant to guide you through the closure, not a shared inbox or a rotating support team.
Support is unlimited throughout the process, so you can ask questions at any stage without worrying about extra charges. Our service also covers any informal strike-off routes, as well as Members Voluntary Liquidation (MVL) and Creditors Voluntary Liquidation (CVL).

- Closure tax planning
- VAT deregistration, including the Flat Rate Scheme where applicable
- Cloud accounting software included
- PAYE deregistration, final RTI submission, and issuing your P45s
- The main director's personal tax return, for any year the company makes a capital distribution
- Closure accounts, and finalising the closure with Companies House
Who are these services for?
This service is for directors of solvent limited companies who are ready to stop trading and close the company properly, whether you’re retiring, moving to a new venture, or simply winding things up.
If your company has outstanding debts or can’t pay its creditors, closure works differently, and you’ll need different advice. Talk to us and we’ll point you in the right direction.

How Closing a Limited Company Works
Most solvent companies close through voluntary strike-off, using Companies House form DS01. It’s simpler and cheaper than formal liquidation, but only available if the company hasn’t traded in the last three months and has no outstanding debts.
It is also possible to close a company through MVL, which our service encompasses. However, this will follow a separate process which we can outline during an initial consultation. The information below applies solely to strike-off closures.
Stop trading first:
The company can't have traded, sold assets, or changed its name in the last 3 months before applying.
Settle what's owed:
Outstanding debts need dealing with before you apply, DS01 isn't available otherwise.
File form DS01:
Signed by a majority of directors, currently costing £18, paid to Companies House.
The objection window:
Your closure is published in The Gazette, giving anyone with an interest 2 months to object.
Distribute funds first:
Anything left in the company when it's struck off passes to the Crown, not to you.

How Much Does Closing a Limited Company Cost?
One fixed fee of £549 + VAT covers the entire closure process.
Companies House charges £18 to file form DS01 directly, but that only covers the filing itself, not the tax planning, deregistrations, or your personal return around it.
Caroola’s £549 + VAT fee covers the whole process: closure tax planning, VAT and PAYE deregistration, your personal tax return for the year of any capital distribution, and finalising the closure with Companies House.

FAQs
- How Much Does It Cost to Close a Limited Company?
The Companies House filing fee is £18. Caroola’s closure service costs £549 + VAT, which covers the whole process: tax planning, VAT and PAYE deregistration, your personal tax return, and finalising the closure with Companies House.
- What's the Difference Between Strike-Off and Liquidation?
Voluntary strike-off, using form DS01, is for solvent companies that have stopped trading and settled their debts. Liquidation is a more formal process, generally needed if the company can’t pay its debts, or if a director wants a different tax treatment for a larger final distribution.
- What Happens to Money Left in the Company When It Closes?
If funds aren’t distributed before the company is struck off, they pass to the Crown rather than to you. Planning the distribution properly, before you apply to close the company, is part of what this service covers.
- Can I Close a Company That Still Owes Money?
Not through voluntary strike-off. Outstanding debts need to be settled first, or the company may need a different, more formal closure process. Talk to us and we’ll advise on the right route.
- How Long Does It Take to Close a Limited Company?
Once the DS01 application is submitted, there’s a 2 month objection window before Companies House can dissolve the company, so the process typically takes 3 to 4 months in total.
- Is This Different From Caroola's Monthly Accounting Packages?
Yes. This is a one-off fee for the closure process itself, separate from any ongoing monthly accounting.
